TERMS OF SERVICE
1. ACCEPTANCE OF TERMS
Innolux Corporation and its branches, subsidiaries and affiliates (collectively hereinafter “INX”) welcome you and the company you work for (collectively hereinafter “You”) to the Supplier Portal Site Services (“Service”). This Supplier Portal Site (“Portal Site”) is established by INX. The completion of Your account registration or Your use of this Service shall be deemed that You have read, understood and accepted to the following Terms of Service (“TOS”). This TOS is NOT a placement but a supplement to agreement(s) executed between You and INX with respect to the Service. In the event that there is any necessity to execute other agreement(s), You agree to fully cooperate with INX.
2. YOUR REGISTRATION OBLIGATIONS AND INX PRIVACY POLICY
(1) You agree to: (a) provide true, accurate, current and complete information about Yourself as prompted by the registration form (the “Registration DataInnolux Corporation and its branches, subsidiaries and affiliates (collectively hereinafter “INX”) welcome you and the company you work for (collectively hereinafter “You”) to the Supplier Portal Site Services (“Service”). This Supplier Portal Site (“Portal Site”) is established by INX. The completion of Your account registration or Your use of this Service shall be deemed that You have read, understood and accepted to the following Terms of Service (“TOS”). This TOS is NOT a placement but a supplement to agreement(s) executed between You and INX with respect to the Service. In the event that there is any necessity to execute other agreement(s), You agree to fully cooperate with INX.
) and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You under take all liability for the event that (a) You provide any information that is untrue, inaccurate, not current or incomplete, and it leads to INX fails to fulfill promises between You and INX, and (b) You use other person’s identity to use this Portal Site or falsify other’s Registration Data.
(2) In the event You commit any of the foregoing illegal conducts, INX has the right to terminate and refuse to provide our Service without giving any prior notice.
(3) This Portal Site uses electronic signature encrypt technique to ensure the safety and secrecy of Your online transactions. You shall apply Your exclusive electronic signature at Trade-Van Information Services Co. (“Trade-Van”) or other INX approved entity in case You are using electronic signature services. INX will appoint Trade-Van to charge You related service fee for Your use of electronic signature at this Portal Site.
(4) Your use of Your exclusive electronic signature has the same effect as Your signature or stamp, and infers that You agree to such execution.
(5) Except for obtaining Your consent or for the following matters required by the laws, INX will not disclose any personal information that You registered or provided, including Your name, ID number, address, email address and other information protected under the laws, to any third party:
(i) Judicial or police investigations,
(ii) Required by a governmental authority under a legal process,
(iii) Any violation of You to the laws or TOS, and
(iv) For public interests or rights of INX or a third party.
However, You agree that INX may provide Your personal information to INX affiliates for internal uses.
3. ACCOUNT AND PASSWORD RETENTION AND THE USE OF PORTAL SITE
(1) Once You complete Your registration and INX completes related set-up, You will obtain a pair of account name and password. You are responsible for the secrecy and safety of the account name and password, and shall not disclose or provide these to any third party. You should also be responsible for all actions taken by under this pair of account name and password.
(2) Your account name and password are provided for Your own use, and prohibited to lend or transfer to any other third party. If You are a corporate entity, You should provide INX the information of authorized users and update INX for any changes.
(3) You shall immediately inform INX if You find that Your account name and password are hacked for illegal use or threatened for safety. None of measures taken by INX shall constitute, express or implied, a warranty or indemnification to You. You shall undertake all the consequences related to the hacks or safety threats.
(4) You shall fully logout Your account every time after using this Portal Site.
(5) Your email box and any documents that You upload to this Portal Site shall be free from virus and shall not infringe any third party’s rights. You shall immediately notify INX when You learn that there is virus or infringement, and be responsible to INX and the third party for the damages caused hereinto.
(6) To assure the quality and stability of processing, You shall have adequate computer processing environment for using this Portal Site.
(7) INX is not obligated to store or archive any data or information of this Portal Site. INX is not liable for deleting or not storing data or information provided by You.
(8) This Portal Site is updated from time to time. You are obligated to pay attention to all the updates for contents, documents, and information of this Portal Site.
(9) Unless otherwise stated in this TOS, any information or documents that You upload to this Portal Site will be deemed non-confidential and non-exclusive. INX has the rights to download, print, use, copy, display, execute, change, transmit, analyze, and distribute such information and documents.
4. YOUR RESPONSIBILITIES AND OBLIGATIONS
(1) Any information or documents that You obtain from this Service or Portal Site shall not be used for any purpose other than fulfilling legal obligations between You and INX. You shall keep such information and documents in confidence and refrain from disclosing any of them to a third party except obtaining INX’s prior written consent. You shall have Your authorized account users obligated at least to the same extent as provided for herein.
(2) You agree not to use this Service for any illegal activities or use illegally. You agree to comply with laws and regulations of R.O.C., agreements between You and INX, this TOS, and INX’s rules related to supplier management. You also agree not to:
(i) offense other’s reputation or privacy
(ii) infringe other’s one or more tread secrets, trademarks, copyrights, patents or any other rights
(iii) violate Your non-disclosure obligations under the laws or contracts
(iv) use other’s identity without authorization or fabricate false information
(v) steal, falsify, or damage to other’s information
(vi) plagiarize other’s information or make sales of it
(vii) intentionally damage other’s email or communication facilities
(viii) transmit or spread computer viruses
(ix) take information that is not authorized or opened by the owner
(x) collect other’s email address or personal information without consent
(xi) be engaged in activities that would endanger the telecommunications or transmission or would violate or likely to violate the laws or regulations.
(3) INX is not responsible for formality or substantive examination to any information that You transmit because of the foregoing clauses. In the event that INX finds or is notified by a third party that You violate or likely to violate any of the foregoings, INX has the rights to remove and delete the affected contents, to cancel or suspend Your account and password, and to terminate Your vendor qualification and not to provide You INX’s vendor services. You agree to be liable for all INX’s damages occurred thereof.
(4) All rights to the contents, designs, pictures, images, files, software, and documents of this Portal Site, including patent rights, copyrights, trademark, intellectual property rights and others, are reserved by INX, and You shall not to copy, transmit, alter, edit or make any use to any of these without INX’s written consent.
5. SERVICE SUSPEND OR DISCONNECTED
(1) In the event any of the followings occurs, INX has the right to terminate or discontinue this Service in whole or in party without notice and INX shall not be liable for any damages thereof:
(i) Any system/equipment moving, replacing or maintaining of this Portal Site.
(ii) Accidental breakdown to telecommunications electronic equipment(s)
(iii) Any force majeure events.
(2) In no event shall INX be liable for Your inconvenience, economic loss, loss of data or time because of the termination or discontinuing of the Service. You shall ordinarily adopt proper precautions to ensure Your rights.
6. WAIVER
(1) THIS SERVICE IS PROVIDED BASED ON INX’S CURRENT EXISTING SCHEMES. THERE IS NO WARRANTY FOR ANY QUALIFICATIONS TO YOUR NEEDS.
(2) DUE TO CHARACTERISTICS OF THE INTERNET, YOU UNDERSTAND AND AGREE THAT IT IS YOUR RESPONSIBILITY TO TAKE ADEQUATE PRECAUTIONS WHILE USING THIS PORTAL SITE. INX WILL NOT BE LIABLE FOR (I) ANY DYSFUNCTIONS OR DELAY OF THIS PORTAL SITE OR ANY LOSSES AND ERRORS IN TRANSMISSION OR STORAGE BECAUSE OF (A) HARD WARE/SOFT WARE SYSTEM BREAKDOWN OF INX, ANY OF ITS SUPPLIERS, OR TELECOM CORPORATIONS, OR (B) OPERATION MISTAKES CAUSED BY OMISSIONS OF EMPLOYEE; OR (II) ANY FALSIFICATIONS OR COUNTERFEITS BY HACKERS.
(3) THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THIS PROTOAL SITE. INX DOES NOT WARRANT THAT (i) ANY INFORMATION OR DATA THAT YOU ACCQUIRE OR DOWN LOAD FROM THIS PORTAL SITE TO BE ACCURATE, COMPLETE, SAFY, RELIABLE, ADQUATE, OR NON-INFRINGING; (ii) THIS PORTAL SITE WILL NOT BECOME DISCONNECTED, ERROE OR SLOW IN TRANSMISSION. UNDER NO CIRCUMSTANCES WILL INX BE LIABLE FOR ANY DAMAGES OR LOSES TO YOUR COMPUTER SYSTEM OR DATA WHICH RESULTED FROM YOUR DOWN-LOADING OF DOCUMENTS, FILES AND/OR INFORMATIONS FROM THIS PORTAL SITE.
7. LIMITATION OF LIABILITY
YOU UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES WILL INX, ITS EMPLOYEES, REPRESENTITIVES, OR AUTHORIZED PERSONEL BE LIABLE FOR ANY DIRECT, INDRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, DERIVATIVE, OR PUNITIVE DAMAGES, INCLUDING THE DAMAGES OF PROFIT, GOODWILL, USAGES, DOCUMENTS OR OTHER INTANGIBLE LOSES (EVEN IF INX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES ) CAUSED BY THE FOLLOWINGS: (i) USING OR NON-USING THIS SERVICE, (ii) UNAUTHORISED ACCQUIRING OR CHANGES TO YOUR DOCUMENTS OR TRANSMISSION, (iii) ANY DECLRATIONS OR ACTIONS OF A THIRD PARTY TO THIS SERVICE, OR (iv) ANY MATTERS RELATED TO THIS SERVICE.
8. AMENDMENT TO TOS
INX reserves the right to modify this TOS and Service in whole or in part at any time, and without prior notice, by posting amended terms or implementing changes of Services on this Portal Site. Your continued use of the Portal Site indicates Your acceptance of the amended TOS.
9. GOVERNING LAW AND JURISDICTION
(1) This Agreement shall be governed and construed in accordance with the laws of Taiwan.
(2) All disputes arising out of or in connection with this TOS shall be amicably resolved through good faith negotiation. In case of any disputes unresolved, the Court of Hsinchu District Court of Taiwan shall have the exclusive original jurisdiction.
